Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the MODRA app, website, marketplace, delivery features, and related services. By creating an account or using MODRA, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the service.

Eligibility and Accounts

You must be legally able to enter into a binding agreement where you live. You are responsible for providing accurate account information, protecting your sign-in credentials, and all activity performed through your account. Notify MODRA promptly if you believe your account has been accessed without permission.

You may not create an account for another person without authorization or use MODRA if your access has previously been suspended for fraud, abuse, or a material violation of these Terms.

Marketplace Services

MODRA helps users discover products from participating local retailers and arrange local delivery. Product availability, descriptions, prices, store hours, and retailer policies may change. Unless expressly stated otherwise, products are sold by the participating retailer, not MODRA. Delivery may be performed by independent delivery providers or other fulfillment partners.

MODRA may add, remove, pause, or modify marketplace features, retailers, service areas, or delivery availability.

Orders and Payments

Before submitting an order, you will be shown available item prices, delivery charges, service fees, discounts, estimated taxes, and an order total. By placing an order, you authorize MODRA and Stripe, our payment processor, to charge the selected payment method for the displayed amount and for adjustments you approve or that are reasonably necessary for substitutions, taxes, refunds, or corrections.

An order is not accepted until it is confirmed. Products may become unavailable, prices may be corrected, and an order may be rejected or cancelled when fulfillment is not possible, fraud is suspected, or payment cannot be completed. You are responsible for taxes and charges shown at checkout.

Delivery

Delivery times are estimates, not guarantees. Store preparation, product availability, traffic, weather, access restrictions, safety conditions, and other events may affect delivery. You are responsible for providing a complete and accurate delivery location, lawful access instructions, and a safe place for delivery.

Risk of loss transfers as provided by applicable law and the participating retailer’s policy. Contact MODRA Support promptly if an order is missing, damaged, delivered incorrectly, or cannot be located.

Returns and Refunds

Returns, exchanges, cancellations, and refunds depend on the participating retailer’s policy, the condition of the product, order status, and applicable law. Delivery and service fees may be non-refundable once fulfillment has begun unless required by law or MODRA determines otherwise.

Contact MODRA Support with the order details. Do not return an item to a delivery provider unless MODRA or the retailer specifically instructs you to do so.

User Responsibilities and Prohibited Conduct

You agree not to:

• use MODRA for fraud, unlawful activity, harassment, or unsafe conduct;
• provide false account, payment, location, or delivery information;
• interfere with the app, security controls, networks, retailers, drivers, or other users;
• scrape, reverse engineer, copy, or misuse the service except as permitted by law;
• attempt unauthorized access to an account, system, promotion, or payment method; or
• resell or commercially exploit MODRA without written permission.

We may investigate violations and suspend or terminate access where reasonably necessary to protect users, partners, or the service.

Intellectual Property

MODRA and its software, visual design, wordmarks, logos, text, graphics, features, and original content are owned by MODRA or its licensors and are protected by intellectual-property laws. Retailer names, product images, and third-party marks belong to their respective owners. These Terms give you a limited, revocable, non-transferable right to use MODRA for personal, lawful purposes.

Disclaimers

To the fullest extent allowed by law, MODRA is provided “as is” and “as available.” We do not guarantee uninterrupted availability, a particular retailer or product, an exact delivery time, or that third-party information will always be complete or error-free. Nothing in these Terms excludes warranties or consumer rights that cannot legally be excluded.

Limitation of Liability

To the fullest extent allowed by law, MODRA and its officers, employees, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, or business opportunity arising from use of the service. Where liability cannot be excluded, it will be limited to the greater of the amount you paid to MODRA for the order giving rise to the claim or the minimum amount required by law.

Dispute Resolution

Please contact MODRA first so we can try to resolve a concern informally. These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law principles, except where the law where you live requires otherwise. Any claim may be brought in a court with lawful jurisdiction. Nothing in this section limits rights that cannot be waived under applicable consumer law.

Changes to These Terms

We may update these Terms as MODRA changes. Updated Terms will be posted here with a revised effective date. If a change materially affects your rights, we may provide additional notice in the app or by email. Continued use after updated Terms take effect means you accept them, to the extent permitted by law.
